Confidentiality a. BV Global Solutions and the client shall maintain the confidentiality of any confidential or proprietary information disclosed during the provision of services. b. Confidential information may include, but is not limited to, trade secrets, business strategies, customer data, and project details. c. Both parties shall use confidential information solely for the purpose of performing the services and shall not disclose it to any third party without prior written consent, except as required by law.
Limitation of Liability a. BV Global Solutions shall not be liable for any direct, indirect, incidental, consequential, or special damages arising out of or in connection with the services, including but not limited to loss of profits, data, or business opportunities. b. The liability of BV Global Solutions shall be limited to the fees paid by the client for the specific services giving rise to the claim.
Termination a. Either party may terminate the services upon written notice in the event of a material breach of these Terms or the agreement. b. Termination shall not relieve the parties of any payment obligations incurred before the termination date.
Governing Law and Jurisdiction a. These Terms and any disputes arising out of or in connection with them shall be governed by and construed in accordance with the laws of [Jurisdiction]. b.
